Role Summary                                                          

Providing legal advice and guidance on a wide variety of commercial and related compliance matters (e.g., FCPA/export compliance, import compliance and conflict minerals disclosure), including the review, drafting, negotiation and support of global contracts relating to sales, manufacturing, procurement, IT, marketing, advertising, licensing, supply, logistics etc. 

Role Accountabilities and Responsibilities                                                          

  • Review, draft, negotiate and support all types of commercial agreements in a timely manner, in accordance with C&D’s contract policies and with a client focus and practical approach to identify and manage the risks that matter
  • Advise internal clients on legal compliance to accomplish business objectives without undue risk to the business
  • Educate business teams about contracting forms, commercial and legal risks, and internal contract approval and compliance policies and procedures.
  • Lead or participate in projects to improve internal legal processes and procedures, including the selection and integration of legal technology to automate tasks.
  • Share responsibility for maintaining, updating and revising contract template agreements
  • Support the business development function with respect to M&A due diligence matters and post-acquisition integration of new businesses and their legacy agreements.
  • Engage with outside counsel where local legal support is necessary.
  • Develop a strong rapport and working relationship with internal clients
  • Work closely with other members of C&D’s legal team to accomplish the overall objectives of C&D and the Law Department specifically.
  • Perform other assignments as designated by the Assistant General Counsel and be willing to take on stretch assignments
  • Manage tight client deadlines.

Education and Experience                                                          

  • J.D. from an accredited law school and member in good standing of the bar in at least one state in the United States
  • 4-8 years combined law firm and/or in-house commercial law experience  M&A experience desired. Preference for candidates with consumer products experience.

Skills and Competencies

  • Deep experience with drafting and negotiating and advising on a wide variety of commercial contracts and ability to take ownership of matters once on-boarded (with escalation support as needed).
  • Exceptional oral and written communication skills and interpersonal skills.
  • Strong cross-functional and problem-solving skills
  • Strong work ethic, sense of ownership, and willingness to help others to achieve business goals
  • Self-motivated, highly organized, detail-oriented, efficient, and resourceful
  • Ability to prioritize and manage workload, multiple client demands, and shifting priorities within a fast-paced, dynamic environment under tight deadlines, and to embrace changing needs and requirements
  • Demonstrated leadership and relationship building skills that lead to successful development, implementation, and improvement of contract processes across functions/organizations.
  • Demonstrated broad business orientation and ability to proactively establish credibility and trust as an attorney, trusted advisor, change agent, and business partner with cross functional perspective.
  • Ability to work independently and as a member of the team and to engage effectively and to collaborate with all law department personnel, all levels of employees and management across the organization, and outside counsel and law firm personnel
